Scan Hero — Terms of Service

These Terms of Service ("Terms") form a binding agreement between AIz Serviços de Inteligência Artificial Ltda. (CNPJ 66.955.511/0001-75, with registered office at Av. Marechal Floriano, 399 – Rio de Janeiro, RJ, Brazil — hereafter "Scan Hero", "we", "us", "our") and the person or entity that creates an account or otherwise uses the website scanheroai.com, its subdomains, APIs and related services (collectively, the "Service", and the user the "Customer" or "you").
By creating an account, clicking "I accept", uploading a file, calling our API, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Notice, our Cookie Statement and our Acceptable Use Policy (together, the "Agreement"). If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to the Agreement, and "you" refers to that entity.
1. Who can use Scan Hero
1.1 Minimum age. The Service is offered only to individuals who are at least 18 years old. We do not knowingly allow minors to register, pay or upload content. If we discover that an account belongs to a minor, we will delete it.
1.2 No geographic restriction (with exceptions). The Service is available worldwide, except where prohibited by law applicable to us (including, where relevant, U.S. OFAC sanctions, EU restrictive measures or Brazilian export controls). You are responsible for ensuring that your use of the Service is lawful in your jurisdiction.
1.3 Consumers and business users. The Service is offered both to consumers (natural persons acting outside their trade, business or profession) and to business users. Mandatory consumer-protection rights in your country of residence are preserved and are not waived by these Terms (see Section 17).
2. The Service
2.1 Scan Hero converts documents you upload (e.g. PDFs, images, scans) into structured Markdown text using optical recognition and large language models ("LLMs"), with optional quality scoring and delivery via download, dashboard, webhook or API.
2.2 We may add, modify or discontinue features at any time. Material changes that adversely affect a paid feature you are using will be communicated by e-mail or in-app notice with reasonable advance notice.
2.3 The Service depends on third-party platforms (Google Cloud, Anthropic, Stripe and others — see our Privacy Notice). We are not liable for outages or limitations of those third parties beyond our reasonable control.
3. Accounts
3.1 Sign-in. You create an account by signing in with Google. You must provide accurate information and keep it up to date.
3.2 Security. You are responsible for all activity under your account and for keeping your sign-in credentials confidential. Notify us at admin@scanheroai.com immediately if you suspect unauthorised access.
3.3 One person per account. You may not share an account with another individual. A single entity may, however, maintain multiple accounts for different employees.
3.4 API keys and webhooks. API keys and webhook secrets must be treated as credentials. You are responsible for any traffic generated with them.
4. Acceptable use
You agree to use the Service in accordance with our Acceptable Use Policy, which is part of these Terms. Without limiting that policy, you must not upload content that is unlawful, infringing, malicious, sexually explicit, exploitative of minors, hateful, violent, defamatory, related to criminal activity, or that you do not have the legal right or basis to process.
We may suspend or terminate accounts that violate the Acceptable Use Policy without prior notice when necessary to protect the Service, our users or third parties.
5. Customer Content
5.1 Definition. "Customer Content" means the files you upload, the prompts you submit, the Markdown outputs generated, the templates you create and any other data you provide through the Service.
5.2 Ownership. As between you and Scan Hero, you retain all rights, title and interest in your Customer Content. We do not claim ownership of it.
5.3 Licence to operate the Service. You grant Scan Hero a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, display and create derivative works of your Customer Content solely to (i) operate, secure and provide the Service to you; (ii) generate the Markdown output and quality metrics; (iii) comply with law; and (iv) enforce the Agreement. This licence ends when the relevant content is deleted in accordance with our retention rules (see Privacy Notice § "Retention").
5.4 Your representations. By submitting Customer Content, you represent and warrant that:
- you own it, or have all necessary rights, consents and legal bases (under the LGPD, GDPR, U.S. state privacy laws and any other applicable law) to upload it and have it processed by us and our sub-processors;
- its processing under the Agreement does not violate any law, contract, trade secret, intellectual-property right or privacy right of any third party;
- it does not contain content prohibited by the Acceptable Use Policy.
5.5 No special-category data without legal basis. You must not upload special-category, sensitive or regulated data (e.g. health records, biometric data, government IDs, children's data, payment-card numbers) unless you have a valid legal basis under applicable law and have assessed the risks. The Service is not a HIPAA-compliant medical record system, is not PCI-DSS-certified for storage of cardholder data, and is not designed for processing classified or export-controlled information.
5.6 Evaluation Cashback — optional training licence. From time to time, when a task you have processed is selected by the platform for evaluation, we may invite you to rate the output quality. If you accept the invitation and submit a rating, you receive a credit equal to 10% of the credits spent on that task ("Evaluation Cashback"). In exchange, you grant Scan Hero an additional, perpetual, irrevocable, worldwide, royalty-free licence to use the input file, the prompt and the output of that specific task to train, fine-tune and evaluate AI models operated by Scan Hero, with no defined retention period. This licence applies only to the specific task for which you accepted the Evaluation Cashback. Participation is voluntary; declining the invitation has no effect on the Service. You can opt out of receiving future invitations in your account settings.
6. Plans, credits, billing and renewals
6.1 Free plan and paid plans. We offer a free plan with a limited credit balance and paid plans described on scanheroai.com/pricing. Paid plans are billed in advance, in U.S. dollars (USD), through Stripe Checkout. Taxes (VAT, GST, U.S. state sales taxes, etc.) are added where applicable.
6.2 Credits. Some features consume credits at the rate displayed at the time of the action. Credits have no monetary value, are not transferable, do not earn interest and may expire as stated on the pricing page.
6.3 Automatic renewal. All paid subscriptions renew automatically at the end of each billing period at the then-current price, until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the then-current period. We will send a renewal reminder where required by law (e.g. U.S. FTC "click-to-cancel" rules, EU consumer-rights rules and BR auto-renewal disclosure rules).
6.4 Price changes. We may change prices with at least 30 days' prior notice by e-mail or in-app notice. New prices take effect on your next renewal; you may cancel before the renewal to avoid the new price.
6.5 Refunds — general rule. Credits already consumed are non-refundable in every jurisdiction. Beyond that:
- Brazil (LGPD / CDC). Consumers who purchase remotely have the right under article 49 of the Consumer Defence Code to withdraw within 7 days of purchase. Refunds will be issued for unused credits; consumed credits cannot be returned because the digital service has already been provided.
- European Union / EEA / United Kingdom. Consumers have a 14-day right of withdrawal under Directive 2011/83/EU (and its UK counterpart). By starting to use credits within that period, you expressly consent to performance beginning before the end of the withdrawal period and acknowledge that you lose the right of withdrawal for credits already consumed.
- United States and other jurisdictions. Purchases are non-refundable except as required by mandatory local law.
6.6 Failed payments. If a renewal payment fails, we may downgrade your account to the free plan or suspend access until payment is made.
7. Third-party services
The Service relies on third-party providers, including Google Cloud (hosting, authentication, storage and analytics), Anthropic (LLM inference) and Stripe (payments). Your use of those services may also be subject to their own terms and privacy policies. Our Privacy Notice lists our sub-processors.
8. Intellectual property
8.1 Our IP. The Service, the Scan Hero brand, the website, the API, the dashboards, the documentation, and all software, designs and content (other than Customer Content) are owned by Scan Hero or its licensors and are protected by copyright, trademark and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use them only as needed to use the Service.
8.2 Feedback. If you send us suggestions, ideas or feedback about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use them without compensation or attribution. We are not required to keep feedback confidential.
8.3 Trademarks. "Scan Hero", the Scan Hero logo and related marks belong to Scan Hero. You may not use them without our prior written permission, except to fairly identify our Service.
9. Restrictions
You will not, and will not allow anyone else to:
- copy, modify, distribute, sell, rent, lease or sublicense any part of the Service;
- reverse-engineer, decompile or extract source code from the Service except to the extent allowed by mandatory law;
- use the Service to develop a competing product or to train a competing model;
- circumvent rate limits, security mechanisms, watermarks or quota systems;
- use bots, scrapers or automated tools beyond the published API;
- upload viruses, malware or content designed to harm the Service or other users;
- use the Service in a manner that violates the Acceptable Use Policy, any applicable export control, sanctions, anti-corruption or data-protection law.
10. Suspension and termination
10.1 By you. You may stop using the Service and delete your account at any time from your account settings.
10.2 By us. We may suspend or terminate your account, with or without notice, if (i) you breach the Agreement; (ii) we reasonably suspect fraud, abuse or risk to the Service or to third parties; (iii) we are required to do so by law; or (iv) you become insolvent.
10.3 Effect of termination. Upon termination, your right to use the Service ends. We will delete or anonymise your data in accordance with the retention rules described in the Privacy Notice, except for records we are required to retain (e.g. tax invoices for 7 years).
10.4 Survival. Sections 5.4 (your representations), 5.6 (Evaluation Cashback licence — only for tasks you opted in), 8 (IP), 9 (restrictions), 10.3 (effect of termination), 11 (warranty disclaimer), 12 (liability), 13 (indemnity), 14 (changes), 15 (notices), 16 (governing law) and 17 (disputes) survive termination.
11. Warranty disclaimer
11.1 AI outputs. The Service uses probabilistic AI models. Outputs may contain inaccuracies, omissions, hallucinated content or layout errors. You are responsible for reviewing the output before relying on it, especially for legal, medical, financial, safety-critical or other high-stakes uses. The Service does not provide legal, medical, financial or professional advice.
11.2 "As is". Except as expressly stated in these Terms or required by mandatory law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted use or fitness with your existing systems.
11.3 Mandatory consumer warranties. Nothing in this Section limits warranties or remedies that cannot be excluded under the law of your country of habitual residence (including the Brazilian Consumer Defence Code, EU consumer-rights directives, UK Consumer Rights Act 2015, U.S. state consumer-protection laws, etc.).
12. Limitation of liability
12.1 Excluded damages. To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, goodwill, data or business opportunity, even if advised of the possibility.
12.2 Aggregate cap. To the maximum extent permitted by law, the total aggregate liability of Scan Hero arising out of or relating to the Agreement, regardless of the cause of action, is limited to the greater of (a) USD 100 and (b) the amounts you paid to Scan Hero in the twelve (12) months preceding the event giving rise to the claim.
12.3 Carve-outs. The limits in this Section do not apply to (i) wilful misconduct or gross negligence; (ii) personal injury or death caused by our negligence; (iii) your obligation to pay amounts due; (iv) infringement by you of our IP; (v) your indemnification obligations; or (vi) any liability that cannot be limited under applicable mandatory law (including BR Consumer Defence Code, EU/UK consumer laws and similar).
13. Indemnity
You will defend, indemnify and hold harmless Scan Hero, its affiliates and their respective directors, officers, employees and agents from and against any claim, loss, damage, liability, cost and expense (including reasonable legal fees) arising out of or relating to (i) your Customer Content; (ii) your breach of the Agreement; (iii) your violation of any law or third-party right (including IP and privacy rights); or (iv) your use of the Service in combination with other products, services or data not provided by Scan Hero. This Section does not apply to consumers in jurisdictions where such indemnity is not enforceable against consumers.
14. Changes to the Terms
We may update these Terms from time to time. If a change is material, we will give you reasonable advance notice (e.g. by e-mail or in-app banner) before it takes effect, and where required by law we will obtain your consent. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept, you must stop using the Service.
15. Notices and contact
15.1 Notices to us. Legal notices must be sent to admin@scanheroai.com and to our registered office at Av. Marechal Floriano, 399 – Rio de Janeiro, RJ, Brazil.
15.2 Notices to you. We will contact you using the e-mail address associated with your account or via in-app notice. It is your responsibility to keep your contact details up to date.
15.3 DMCA / copyright complaints. If you believe content available on the Service infringes your copyright, send a notice with the information required by 17 U.S.C. § 512(c)(3) to admin@scanheroai.com.
16. Governing law
These Terms are governed by the laws of the Federative Republic of Brazil, without regard to its conflict-of-laws principles, except that mandatory consumer-protection laws of your country of habitual residence continue to apply to you to the extent they grant you stronger rights.
17. Disputes — arbitration and class-action waiver
17.1 Arbitration (default rule). Except as provided below, any dispute, claim or controversy arising out of or relating to the Agreement or the Service will be finally resolved by binding arbitration administered by CAM-CCBC (Centro de Arbitragem e Mediação da Câmara de Comércio Brasil-Canadá), in the city of Rio de Janeiro, Brazil, in English or Portuguese, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
17.2 Class-action waiver. Disputes will be resolved on an individual basis only. Neither you nor Scan Hero may bring or participate in any class, collective or representative action against the other.
17.3 Mandatory consumer carve-out (EU/EEA/UK/Brazil and similar). If you are a consumer (natural person acting outside your trade, business or profession) habitually resident in the European Union, the European Economic Area, the United Kingdom, Brazil, or any other jurisdiction whose mandatory law prohibits or restricts arbitration agreements or class-action waivers against consumers, Sections 17.1 and 17.2 do not apply to you to the extent of that prohibition. In those cases:
- you may bring proceedings in the courts of your country of habitual residence, and we may bring proceedings against you only in those courts (e.g., for EU/EEA consumers, articles 17–19 of Regulation (EU) 1215/2012; for Brazilian consumers, article 101(I) of the Consumer Defence Code);
- you retain any non-waivable rights granted by your local consumer-protection law (including the right to participate in class or representative actions where available, e.g., the EU Representative Actions Directive 2020/1828 or Brazilian ação civil pública / ação coletiva).
17.4 Small claims and injunctive relief. Either party may bring an individual action in a competent small-claims court, or seek injunctive or equitable relief in any court of competent jurisdiction to protect its IP or confidential information.
17.5 EU Online Dispute Resolution. EU/EEA consumers can also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/. We are not obliged to participate in arbitration before a consumer arbitration board.
18. Miscellaneous
18.1 Entire agreement. The Agreement is the entire agreement between you and Scan Hero regarding the Service and supersedes prior agreements on the same subject.
18.2 Assignment. You may not assign the Agreement without our prior written consent. We may assign it to an affiliate or in connection with a merger, acquisition or sale of assets.
18.3 No waiver. Our failure to enforce any provision is not a waiver of that provision.
18.4 Severability. If any provision is held unenforceable, the rest of the Agreement remains in force.
18.5 No agency. The Agreement does not create any agency, partnership, joint venture or employment relationship.
18.6 Force majeure. Neither party is liable for failure to perform due to events beyond its reasonable control (e.g. acts of God, war, pandemic, internet or cloud-provider outages, government action), provided it uses reasonable efforts to resume performance.
18.7 Language. These Terms are originally drafted in English. We may publish translations for convenience; in case of conflict, the English version prevails, except where local law requires the local-language version (e.g. Portuguese for Brazilian consumers under the Consumer Defence Code).
